N3XT Account Opening Guide

To open a business account at N3XT we require the following documentation to verify your business and identity. Please note that during the application process, you may need to provide additional documentation based on your response. Our onboarding team may reach out for further clarification and/or documentation following their initial review.

The information below is not comprehensive, and we may modify or update it at any time by posting a revised version on our website.

N3XT Institutional Onboarding Requirements

  • Business Tax Identification Document: Business Tax ID/registration number such as an SS-4, Form CP 575, an extract from government registry, or other official proof of your tax registration number in a non-US country.

  • Business Ownership Structure: An organization chart or document outlining the business ownership structure. The chart must include the legal entity name, ownership percentages, and the names of all ultimate beneficial owners (ownership of >25%).

  • Formation Document: A copy of the business formation document is required, this may include Articles of Incorporation, Partnership Agreement, Certificate of Formation, Trust Agreement, and Memorandum of Association.

  • Authority Verification: A document listing the control person as an authorized signatory for the business that has the authority to open, maintain, and close a business bank account. This may include documents such as a Certificate of Incumbency, Corporate Resolution, or Secretary Certificate, Operating Agreement, Articles of Organization or a copy of the most recent bylaws providing the authority.

  • Source of Funds: We require a copy of the source of funds document, or an equivalent, issued in the name of the company and dated within the last 90 days, if applicable:

    • Bank Statement

    • Brokerage Statement

    • Investments (shares, bonds, property)

    • Capital Commitment Letter

    • Proof of Balance at a Crypto Exchange

    • Audited Financial Statement

    • Loan Agreement

    • Tax Return

  • Control Person and Beneficial Owners (UBOs):

    • Valid government-issued ID: A control person and all beneficial owners (individuals who own 25% or more of your business) must provide a non-expired, valid, government-issued ID (e.g., passport, driver's license, identity card etc.).

    • Associated Person Information: By law, we need to collect information about a control person and all beneficial owners. This includes collecting personal information such as full legal name, date of birth, residential address, and identification number (e.g., social security number).

Supplementary documents required for Money Service Business (MSB) and Financial Institutions:

  • Regulatory license(s): List of all federal, state, or international licenses, registrations or charters held (e.g., FinCEN, FCA, MAS, EMI, etc.).

    • Description of the activities each license authorizes you to perform, with confirmation that they fully cover your products/services.

    • Please include any exemptions or supporting legal memos / risk opinions if applicable.

  • AML/CFT Policy: Current (within the last 12 months) approved version with oversight details, scope, and sanctions policy.

  • AML Officer Information: Resume for AML officer with experience, certifications and contact information.

  • AML / CFT Independent Audit or Review: Most recent (within the last 24 months) audit including scope, findings, and management responses.

Supplementary documents required for a shipping or cargo entity:

  • Shipping licenses and operating permits: All operational licenses and permits with issuing details, status, and authorized activity descriptions.

  • Anti-Bribery / Anti-Corruption Policy: Provide a copy of the most current (within the last 12 months) Anti-Bribery, corruption, and Sanctions policies including oversight, scope, and last review date.

  • List of Owned or Chartered Vessels and Flag States (via IMO Numbers): Comprehensive list of owned or chartered vessels including IMO numbers, vessel types, and flag states.

  • Trade Compliance or Export Control Policy: Current policy (within the last 12 months) including oversight, scope, and last review date.

Supplementary documents required for companies that have exposure to digital assets:

  • Coin Risk Assessment Policy: Please provide your coin risk assessment policy (approved within the last 12 months), including a list of the cryptocurrencies and tokens supported or held by your company.

  • Wallet Addresses and Chain: Provide a list of the wallet addresses and their corresponding blockchain networks (e.g., Bitcoin, Ethereum, Solana, Polygon) used for your primary business operations and customer payment collections.

N3XT may require additional onboarding documentation depending on the complexity of your business. Institutional Onboarding Requirements for additional document verification (if applicable):

Supported Documents for Proof of Address of Ultimate Beneficial Owner (UBOs) -

The address on the document must be a personal residential address. P.O. boxes, hotels, and business addresses are not acceptable (documents must be issued in the name of the beneficial owner and dated within the last 3 months).

Acceptable documents include:

  • Lease agreement

  • Payslip

  • Bank/Brokerage statement

  • Utility bill

  • Credit Card statement

Supported Documents for Source of Wealth for UBOs -

(Documents must be issued in the name UBO and dated within the last 3 months)

Acceptable Source of Wealth documents include:

  • Bank or Brokerage Statement (Dated within last 90 days, shows owner name and address)

  • Inheritance

  • Investments (shares, bonds, property)

  • Capital Commitment Letter

  • Proof of Balance at a Crypto Exchange

  • Personal Audited Financial Statement

  • Loan Agreement

  • Sale of an Asset (Company, Property, Etc.)

  • Tax Return

Note: Regulated financial institutions and publicly traded companies may be exempt from this requirement.

Supported Documents for Operating Address of the Company -

(Documents must be issued in the name of the Company and dated within the last 3 months)

Acceptable documents include:

  • Office space lease agreement

  • Bank/brokerage statement

  • Utility bill

  • Government issued license

  • Document issued by a Government authority
